1. Acceptance of Terms

By accessing or using the Wyrmlabs services, including but not limited to the Fathom model, API access, web interfaces, and associated documentation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

Wyrmlabs Ltd. ("Wyrmlabs," "we," "us," or "our") is an artificial intelligence research laboratory registered in Beijing, China. These Terms constitute a legally binding agreement between you ("you" or "User") and Wyrmlabs regarding your use of the Services.

2. Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Use of Services

Subject to these Terms, Wyrmlabs grants you a non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes only. You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable laws or regulations;
• Attempt to reverse engineer, decompile, or extract the source code of the Fathom model or any Wyrmlabs software;
• Use the Services to develop competing models or services;
• Circumvent any usage limits, rate limiting, or access controls implemented by Wyrmlabs;
• Use automated means to access or scrape the Services without express written permission;
• Upload or transmit any malicious code, viruses, or harmful content through the Services.

4. Data and Privacy

Wyrmlabs processes data in accordance with our Privacy Policy. By using the Services, you consent to such processing. You retain all rights to any data, content, or materials you submit, upload, or transmit through the Services ("User Data"). You grant Wyrmlabs a worldwide, royalty-free license to host, store, and process User Data solely for the purpose of providing the Services to you.

Wyrmlabs may collect and use technical data and related information—including but not limited to technical information about your device, system, and application software—to improve our products and services. We do not use your User Data to train or fine-tune our models without your explicit consent.

5. Intellectual Property

The Services, including the Fathom model, its weights, architecture, training methodologies, and all associated intellectual property, are owned by Wyrmlabs Ltd. or its licensors. The Fathom model is released under the Apache 2.0 license, which governs your rights to use, modify, and distribute the model weights and associated code. All other elements of the Services not covered by the Apache 2.0 license are protected by applicable intellectual property laws.

6. Service Level and Availability

Wyrmlabs endeavors to maintain high availability of the Services but does not guarantee uninterrupted access. We reserve the right to suspend or limit access to the Services for maintenance, security, or capacity reasons. Enterprise customers with SLA agreements are subject to the terms of their respective contracts. Beta features are provided "as-is" and may be modified or discontinued at any time.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Wyrmlabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. The Fathom model is a research artifact and should not be relied upon as the sole basis for any decision. You assume all risk associated with the use of AI-generated outputs.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Beijing, China.

9. Changes to Terms

Wyrmlabs reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Services. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
